Terms of Service

1. Acceptance of Terms

By creating an account on NewWave Fluent, you agree to these Terms of Service. If you do not agree, you may not use our platform. These terms constitute a legally binding agreement between you and NewWave Fluent.

2. Eligibility

You must be at least 14 years old to use NewWave Fluent. If you are under 18, you must have parental or guardian consent. By using the platform, you confirm you meet these requirements.

Paid tutoring and paid events are for adults (18+) at launch. You must be at least 18 to book or take part in a paid 1:1 tutoring session or a paid tutor event, and tutors must be at least 18. General free platform access follows the age rule above. Learners under 18 may not book or join paid tutoring or paid events unless we introduce a separate minors/safeguarding policy.

3. Account Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your password
  • All activity that occurs under your account
  • Ensuring your account information is accurate and up-to-date

You must not:

  • Share your account with others
  • Use another person's account
  • Create multiple accounts to abuse promotions or discounts
  • Use automated bots or scripts to access the platform

4. Payments & Paid Services

Free Platform Access

  • Creating an account and using the general NewWave Fluent learning and community platform does not require a recurring payment
  • Courses, flashcards, community and practice tools are not gated behind a paid learner tier

Optional Paid Services

  • Certain clearly presented services, including paid tutoring, may require a one-off or per-service payment
  • The full learner price and service-specific terms are shown before you purchase
  • Payments are processed securely by Stripe
  • Mandatory consumer rights under Dutch and EU law remain unaffected

5. Tutoring Services

  • Pricing: tutors choose their own Tutor Net Rate — the amount the tutor earns for a 50-minute session. NewWave Fluent adds its standard platform markup on top, and the price you see is the single full upfront price for that session — no additional fees at checkout, no hidden charges. Any applicable platform fees, payout terms, or pricing rules are disclosed before you book and pay.
  • NewWave Fluent B.V. is the merchant of record: you buy the session from, and pay, NewWave Fluent B.V. for the services it facilitates. Payments are processed by Stripe as our payment processor. Tutors are paid separately by NewWave Fluent under their own payout terms.
  • Booked through integrated Calendly system
  • Delivered via Google Meet
  • Must have a free NWF account to book

Session Cancellation

  • Cancel/reschedule 24+ hours before: Full refund
  • Cancel less than 24 hours: No refund
  • Tutor no-show: Full refund + 1 free session credit
  • Student no-show: No refund

Your statutory rights

If you are a consumer, you may have a statutory right to withdraw from an online purchase (herroepingsrecht), typically within 14 days. The 24-hour cancellation, reschedule and no-show terms above are NewWave Fluent's own service terms and do not limit any mandatory consumer rights you have under Dutch or EU law. Where you ask us to begin a session within the withdrawal period, your withdrawal right may be affected once the session has been fully performed. See our Refund Policy for details.

6. User Content & Conduct

You may not post or share:

  • Offensive, abusive, or hateful content
  • Spam or promotional content without permission
  • Content that violates others' intellectual property
  • Personal information of others without consent
  • Illegal content or content promoting illegal activities

Moderation and enforcement

If content or conduct breaks these Terms, our community rules, or applicable law, NewWave Fluent may remove content, reduce its visibility, restrict features, suspend an account, or terminate an account, depending on the issue and its severity. Where appropriate, we aim to give a clear reason for the action.

Appeals

If you believe a moderation, content, account, or visibility decision was wrong, you can appeal by emailing team@newwavefluent.com. We aim to respond within 14 days. An appeal may result in the decision being upheld, reversed, or adjusted.

Fake engagement and manipulation

You must not post, buy, sell, request, or coordinate fake or manipulated reviews, likes, follows, comments, reports, or other engagement. You must not try to manipulate rankings, recommendations, tutor visibility, or platform integrity.

Ranking, visibility and sponsored placement

We may use activity, relevance, quality, safety, reliability, availability, and other platform signals to rank or surface tutors, profiles, posts, sessions, and events. We describe ranking and discovery factors generally, but we do not publish exact formulas, weights, thresholds, or anti-abuse logic. If we ever introduce sponsored, paid, or promoted ranking or featured placement, we will clearly disclose it.

7. Third-Party Embedded and Linked Content

Some content on NewWave Fluent is hosted somewhere else. This section covers three different things:

  • A public link shared by a member — you paste a public URL into a post, and the platform shows the content it points to.
  • Provider content curated by a Language Lead or administrator — the same mechanism, used inside lessons and course material.
  • Content hosted by NewWave Fluent — media uploaded to our own storage, which is covered by Section 8 below rather than this one.

What we do and do not control

  • Third-party media stays hosted by the provider. We store the address, not the media. Displaying a public URL does not make us the publisher of what is behind it.
  • We do not control whether that content stays available, or how the provider behaves towards you. The provider or the original poster may change, restrict or remove it at any time, and it may then stop working on NewWave Fluent.
  • We may refuse, disable or remove an embed for legal, safety, moderation, privacy, security, technical or performance reasons, and we may limit which providers we support at all.

Your responsibility when you share a link

  • You remain responsible for having the right to share what you link to, and for following the rules of the platform it is hosted on as well as ours.
  • Sharing a public URL does not transfer ownership of the underlying media to NewWave Fluent, and we do not claim a licence to it. It also does not give you rights you did not already have — if it is not yours to share, do not share it.
  • Section 6 (User Content and Conduct) applies to links exactly as it applies to anything else you post.

Your privacy choice comes first

Content hosted by a third-party provider is only loaded in line with your current External Media choice, which is off unless you turn it on. Where it is not loaded, the link itself remains available so you can open the original yourself. See our Privacy Policy and Cookie Policy for what a provider receives when you do load it.

8. Intellectual Property

All content, design, code, and materials on NewWave Fluent are owned by us or licensed to us. You may not copy, reproduce, or redistribute without permission.

You retain ownership of content you post (comments, mission submissions). By posting, you grant us a license to display and use your content on the platform. You may delete your content at any time.

All lessons, quizzes, and course materials are proprietary and licensed for personal use only. They may not be shared, resold, or redistributed.

9. Service Availability

We strive for 99.9% uptime but cannot guarantee uninterrupted access. Scheduled maintenance will be announced 48 hours in advance where possible. We are not liable for interruptions due to third-party outages, connectivity issues, or force majeure events.

10. Limitation of Liability

To the maximum extent permitted by law, NewWave Fluent is provided "as is" without warranties of any kind. We are not liable for errors in course content, technical issues, data loss, outcomes of your language learning progress, issues from third-party services, or indirect/consequential damages. Our total liability is limited to the amount you paid in the last 12 months.

11. Termination

We may terminate your account if you violate these Terms, engage in fraudulent activity, abuse or harass tutors or other users, or as required by law.

Upon termination by NewWave Fluent, access to the platform ends and your data will be deleted within 30 days. Any rights or remedies connected to a separately purchased paid service remain subject to the applicable service terms and mandatory law.

You may permanently delete your own account from Settings. Account deletion is irreversible and does not by itself create a refund for a paid service.

12. Changes to Terms

We may update these Terms at any time. Material changes will be notified via email 30 days in advance. Continued use after changes constitutes acceptance.

13. Governing Law

These terms are governed by Dutch law, subject to any mandatory consumer protection rules that apply. The competent Dutch courts will have jurisdiction unless mandatory law provides otherwise. For EU residents: you retain your consumer rights under EU law.
